These Terms and Conditions govern your access to and use of the Thailand Business & Property website, platform and related services.
Thailand Business & Property, also referred to as “THBP,” is operated by BizProp Co., Ltd. In these Terms, “we,” “our” and “us” refer to BizProp Co., Ltd. and THBP.
By accessing the website, creating an account, submitting a listing, requesting information or using any THBP service, you confirm that you have read, understood and agreed to these Terms.
1. About THBP
THBP provides an online marketplace, marketing platform and business brokerage service connecting:
- Business and property owners
- Sellers and landlords
- Buyers, tenants and investors
- Authorized representatives
- Agents and co-brokers
- Other professional service providers
Depending on the service requested, THBP may act as:
- An online listing platform
- A marketing intermediary
- A business or property broker
- An introducer between interested parties
- A provider of related administrative or document services
The publication of a listing alone does not create a brokerage, agency, partnership, employment or fiduciary relationship between THBP and a user.
A separate written agreement may be required when THBP provides brokerage, exclusive marketing, document, payment or other professional services.
2. Acceptance of These Terms
You agree to these Terms when you:
- Browse or use the website
- Register an account
- Submit or manage a listing
- Contact an owner, seller, buyer or investor through THBP
- Sign an agreement or consent form
- Make a service payment
- Use any other THBP feature or service
When you use THBP on behalf of a company, partnership, owner or another person, you confirm that you have authority to accept these Terms on their behalf.
Do not use the platform if you do not agree to these Terms.
3. Eligibility and Authority
You may use THBP only if you have the legal capacity and authority required to enter into binding agreements.
When submitting a listing or acting for another person, you confirm that:
- You own the business, property or rights being offered, or you are properly authorized to represent the owner
- You have permission to provide the information and documents submitted
- You have authority to communicate and negotiate regarding the opportunity
- Your use of THBP does not breach another contract, law or third-party right
We may request evidence of ownership, identity, company authority or authorization before approving a listing or providing information.
4. User Accounts
Some website features require a registered account.
You agree to:
- Provide complete and accurate registration information
- Keep your account details current
- Protect your password and login credentials
- Prevent unauthorized use of your account
- Notify us promptly if you suspect unauthorized access
- Accept responsibility for activity performed through your account
You must not:
- Create an account using false information
- Impersonate another person or company
- Share an account in a way that creates a security risk
- Use another person’s account without authorization
- Attempt to gain unauthorized access to another account
We may suspend an account while investigating suspected misuse, security concerns or inaccurate information.
5. Listings
Users may submit businesses, properties, leases and other approved opportunities for publication on THBP.
You are responsible for ensuring that all listing information is:
- Accurate
- Current
- Complete
- Lawful
- Not misleading
- Supported by appropriate authorization
- Consistent with any agreement you have with an owner or third party
Listing information may include:
- Business or property descriptions
- Location information
- Asking prices
- Rental information
- Lease terms
- Financial or operational information
- Images and videos
- Licences or permits
- Equipment and asset information
- Company or ownership details
You must promptly update or notify THBP when:
- A listing is sold, leased, withdrawn or no longer available
- The price or rental terms change
- Material information becomes inaccurate
- Your authority to market the opportunity ends
- A legal, ownership or licensing issue arises
6. Listing Review and Approval
All submitted listings may be reviewed before publication.
THBP may:
- Request additional details
- Request proof of identity, ownership or authority
- Correct grammar, spelling and formatting
- Improve titles and descriptions for readability
- Assign or change categories
- Remove duplicate or irrelevant information
- Reject incomplete or misleading submissions
- Place a listing on hold
- Suspend, expire or remove a listing
- Request updated images or documents
We will not intentionally make a material change to the commercial meaning of a listing without appropriate confirmation.
Approval or publication does not mean that THBP has independently verified every statement, licence, document, financial figure or ownership claim.
7. Public and Confidential Information
Approved general listing information may be displayed publicly, including:
- General descriptions
- General locations
- Asking prices or rental information
- Images approved for marketing
- Business categories
- Property or operational details
THBP may keep certain information confidential, including:
- Exact business names
- Exact confidential addresses
- Owner contact information
- Identity documents
- Company documents
- Signed agreements
- Private financial records
- Confidential operational information
Confidential information may be provided to an interested party only after suitable steps have been completed, which may include:
- Identity verification
- Buyer or investor qualification
- Owner authorization
- Signing an NDA
- Signing a consent or disclaimer
- Accepting brokerage or introduction terms
Users must not disclose, copy, publish or misuse confidential information received through THBP.
8. Uploaded Content and Marketing Permission
You retain ownership of content you submit, subject to any rights held by other parties.
By submitting a listing, image, video, description or document for marketing, you grant THBP a non-exclusive, worldwide and royalty-free permission to:
- Display the approved content on the website
- Resize or format images
- Edit text for grammar and presentation
- Translate listing content
- Promote the listing through email
- Promote the listing through social media
- Share approved marketing material with potential buyers, investors, agents or co-brokers
- Create listing previews, advertisements and marketing summaries
This permission continues while the listing is active and for a reasonable period afterward for records, compliance, dispute handling and removal from third-party channels.
You confirm that submitted content:
- Belongs to you or is properly licensed
- Does not infringe copyright, trademark, privacy or other rights
- Does not contain unlawful or misleading material
- May lawfully be used for the requested marketing purpose
9. Listing Duration, Expiry and Reposting
Listings may remain active for the period shown on the website or communicated to the user.
When a listing reaches its expiry date, THBP may:
- Mark it as expired
- Remove it from public search results
- Ask the user to confirm that it remains available
- Allow the user to repost or renew it
- Permanently remove it if no confirmation is received
Users are responsible for keeping listing information current after reposting or renewal.
THBP may change general listing periods or renewal procedures by updating the platform or notifying affected users.
10. Brokerage and Separate Agreements
Certain transactions may involve brokerage, introduction, exclusive marketing, co-brokerage or other professional services.
Those services may require a separate signed agreement covering matters such as:
- Marketing authority
- Exclusivity
- Brokerage commission
- Service fees
- Co-broker arrangements
- Payment timing
- Protection periods
- Introduced buyers or investors
- Confidentiality
- Transaction completion
- Termination rights
The submission or publication of a standard listing does not by itself confirm a particular commission rate.
Any applicable commission, service fee or payment obligation will be governed by the relevant signed agreement, invoice, payment request or written service terms.
Where these website Terms conflict with a separate signed agreement, the separate signed agreement will control for the service or transaction it covers.
11. Fees, Payments and Taxes
Submitting a standard listing may be free unless otherwise stated.
Certain services may require payment, including:
- Brokerage services
- Marketing services
- Document services
- Company or verification services
- Virtual office or administrative services
- Other professional services requested by the user
Before payment, THBP will provide the relevant price, invoice, payment request or service terms.
You agree to:
- Pay agreed fees by the due date
- Provide accurate billing information
- Pay applicable taxes or VAT where required or stated
- Keep payment records where necessary
Refund eligibility depends on:
- The service purchased
- Whether work has started or been completed
- The relevant signed agreement
- The payment terms presented before payment
- Applicable law
A general website statement does not override refund rights or obligations required by applicable law.
12. Buyer and Investor Responsibilities
Listings may contain information provided by owners, sellers, agents or other third parties.
Before entering a transaction, buyers, tenants and investors should independently verify all material information, including:
- Ownership and authority
- Company registration
- Licences and permits
- Financial statements
- Revenue and expenses
- Taxes and liabilities
- Employment obligations
- Lease terms
- Land or property rights
- Deposits
- Equipment and assets
- Legal compliance
- Planning or zoning restrictions
- Building condition
- Existing contracts
- Required approvals
Users should obtain independent legal, financial, accounting, tax, technical and other professional advice before making a decision.
THBP information is provided for initial marketing and discussion purposes and should not replace formal due diligence.
13. No Guarantee of Transaction or Investment Result
THBP does not guarantee:
- That a listing will be sold or leased
- That a buyer, tenant or investor will be found
- That an inquiry will result in a transaction
- That financing will be approved
- That licences or government approvals will be granted
- That a particular sale price will be achieved
- That estimated revenue or profit will continue
- That an investment will produce a return
- That a transaction will complete within a specific period
Market conditions, negotiations, owner decisions, buyer decisions, financing, due diligence and legal requirements may affect a transaction.
Any calculator, valuation, market estimate or financial projection on the website is provided as an informational estimate based on available inputs and assumptions. It is not a guarantee, formal valuation or investment recommendation.
14. Communications and Electronic Records
You agree that THBP may communicate with you through:
- Telephone
- Website notifications
- Account messages
- Electronic documents
- Other contact methods you provide
You are responsible for maintaining accurate contact details.
To the extent permitted by applicable law, you agree that:
- Electronic communications may satisfy written-notice requirements
- Electronic records may be retained as evidence of communications and transactions
- Electronic acceptance may record your agreement
- Electronic signatures may be used for suitable documents
- Signing records may include the date, time, IP address, email address and document activity
Some documents or transactions may require additional legal formalities, identity checks, witnesses, original documents or registration with an authority. The use of electronic records does not remove those requirements where they apply. ETDA publishes the Electronic Transactions Act and guidance addressing legal effect, identification, intent and reliability of electronic signatures.
15. Prohibited Activities
You must not use THBP to:
- Submit false or fraudulent listings
- Misrepresent ownership or authority
- Impersonate another person or company
- Upload stolen, unlawful or infringing content
- Promote an illegal business or transaction
- Collect user information for unauthorized purposes
- Send spam or unsolicited bulk communications
- Harass or threaten another user
- Introduce malware or harmful code
- Interfere with website security
- Attempt unauthorized access
- Scrape or systematically copy website content
- Use automated tools without permission
- Copy listings for publication on another platform without authorization
- Avoid contractual obligations under a signed NDA, brokerage, co-broker or introduction agreement
- Use confidential information to bypass an agreed process
- Damage the reputation, operation or security of THBP
We may investigate suspected violations and take appropriate action.
16. Agents and Co-Brokers
Agents and co-brokers using THBP must:
- Act honestly and professionally
- Accurately identify their role
- Have proper authority to market or introduce an opportunity
- Protect confidential information
- Avoid misleading representations
- Follow any signed co-broker or commission-sharing agreement
- Comply with applicable laws and professional obligations
Commission sharing or cooperation between agents must be confirmed separately in writing.
THBP is not responsible for an informal commission arrangement made between users outside a written agreement involving THBP.
17. Third-Party Services and Links
THBP may use or link to third-party services, including:
- Email-delivery providers
- Analytics services
- Mapping and address services
- Payment providers
- Hosting and security providers
- Social-media platforms
- External professional services
THBP does not control every third-party service and is not responsible for:
- Third-party availability
- Third-party terms
- External website content
- Independent third-party advice
- A third party’s privacy or security practices
- Transactions completed outside THBP
Users should review the applicable third-party terms and privacy policies.
18. Privacy and Personal Data
Personal data is handled according to:
- Our Privacy Policy
- User consent where required
- Contractual requirements
- Legitimate operational needs
- Applicable personal-data protection law
By using THBP, you acknowledge that your personal information may be processed as explained in the Privacy Policy.
Where you provide another person’s information, you confirm that you have lawful authority to provide it.
The Privacy Policy explains the categories of data collected, purposes, disclosures, retention and user rights. These are also core elements used in privacy notices published through Thailand’s official PDPC compliance platform.
19. THBP Intellectual Property
Unless otherwise stated, the THBP website and its original content are owned by or licensed to BizProp Co., Ltd., including:
- Website design
- THBP branding
- Logos
- Software
- Databases
- Page layouts
- Original text
- Graphics
- Calculators
- Marketing systems
- Internal processes
You may use website content for personal evaluation of a listed opportunity.
You must not reproduce, republish, sell, licence, scrape or commercially exploit THBP content without written permission, except where applicable law allows it.
20. Service Availability and Website Changes
We aim to keep the website available and functioning properly, but we do not guarantee uninterrupted access.
The website may be affected by:
- Maintenance
- Hosting issues
- Internet failures
- Security incidents
- Third-party outages
- Software updates
- Events outside our reasonable control
We may change, add, suspend or discontinue website features where reasonably necessary.
Where a change materially affects a paid service, the relevant service agreement and applicable law will apply.
21. Suspension and Termination
THBP may suspend, restrict or terminate access when reasonably necessary because:
- These Terms have been violated
- Information is false or misleading
- Fraud or misuse is suspected
- A security risk exists
- Payment remains unpaid
- Confidential information has been misused
- The user lacks authority
- A listing may be unlawful
- Continued access may harm THBP or another person
- We are required to act by law or an authority
Where appropriate, we may allow the user to explain or correct the issue.
Termination does not remove obligations that arose before termination, including:
- Payment obligations
- Confidentiality obligations
- Intellectual property obligations
- Duties under signed agreements
- Liability for prior misconduct
22. Disclaimers
THBP takes reasonable steps to operate the platform professionally. However, information submitted by third parties may contain errors, omissions or outdated details.
To the extent permitted by law:
- Website content is provided on an “as available” basis
- THBP does not warrant that every listing is accurate or complete
- THBP does not provide legal, tax, accounting or investment advice through general website content
- Users remain responsible for their own decisions and due diligence
- THBP is not responsible for statements made independently by users or third parties
Nothing in these Terms excludes any warranty, obligation or right that cannot lawfully be excluded.
23. Limitation of Liability
To the maximum extent permitted by applicable law, BizProp Co., Ltd. and THBP will not be liable for indirect, incidental, special or consequential losses arising from:
- Reliance on unverified listing information
- A transaction between users
- Loss of business opportunity
- Loss of expected profit
- Third-party conduct
- Unauthorized account use caused by a user’s failure to protect credentials
- Website interruption outside our reasonable control
- External links or third-party services
Where THBP is legally responsible for a direct loss connected with a paid service, liability will be assessed according to:
- The relevant signed agreement
- The nature of the service
- The circumstances of the loss
- Applicable law
Nothing in these Terms limits liability for fraud, intentional misconduct, gross negligence or any liability that cannot lawfully be limited.
24. User Responsibility and Indemnity
To the extent permitted by law, you are responsible for claims, losses or expenses caused by:
- False information you submit
- Lack of authority to market a listing
- Infringement of third-party rights
- Unlawful uploaded content
- Misuse of confidential information
- Fraudulent or prohibited activity
- Your material breach of these Terms or a separate agreement
You agree to cooperate reasonably if a claim or investigation arises from your conduct.
This section does not require a consumer to accept liability beyond what is fair or legally enforceable. OCPB guidance emphasizes clarity and fairness in consumer-facing contract terms.
25. Governing Law and Disputes
These Terms are governed by the laws of Thailand.
Before commencing formal proceedings, the parties should attempt in good faith to resolve a dispute through written communication and reasonable discussion.
If a dispute cannot be resolved, it may be submitted to a court in Thailand that has legal jurisdiction.
Nothing in these Terms removes any mandatory consumer right, complaint right or legal remedy available under applicable law.
26. Changes to These Terms
We may update these Terms to reflect:
- Changes to the website
- New services
- Changes to business procedures
- Security requirements
- Legal or regulatory developments
The revised Terms will be published on this page with an updated date.
Material changes may also be communicated through email, the user dashboard or another reasonable method.
Continued use of THBP after updated Terms take effect means that you accept the updated Terms, except where additional consent is legally required.
27. General Provisions
Severability
If any provision is found invalid or unenforceable, the remaining provisions will continue to apply.
No Waiver
A delay in enforcing a right does not mean that the right has been waived.
Assignment
You may not transfer your rights or obligations under a paid or signed service agreement without written permission.
BizProp Co., Ltd. may transfer its rights and responsibilities as part of a lawful restructuring, merger, sale or transfer of the business, subject to applicable law.
Entire Agreement
These Terms, together with the Privacy Policy and any applicable signed agreement, form the agreement governing the relevant service.
Order of Priority
Where documents conflict, the following order generally applies:
- A specific signed agreement
- A specific invoice or service-payment term
- These Terms and Conditions
- General website information
Language
These Terms may be made available in more than one language.
Where legally permitted and where a translation differs from the English version, the English version will be used to interpret the intended meaning, unless a signed agreement states otherwise or applicable law requires another result.
